The UK’s Competition and Markets Authority (CMA) has granted approval for Carlsberg’s £3.3 billion acquisition of Britvic, the maker of the renowned Robinsons drinks.
Today, the CMA confirmed that the transaction will not be subjected to an in-depth investigation. This clearance paves the way for the completion of the deal, expected on 16 January 2025. The acquisition, valued at £3.3 billion, enables Carlsberg to take control of Britvic, effectively merging both entities into the newly branded Carlsberg Britvic.
Under the agreed terms, Carlsberg will pay 1.315p per share to Britvic shareholders. The merger aims to create a unified beverage company within the UK, promising an extensive portfolio of products and a robust distribution network. The move is poised to enhance the operational capabilities of both brands, promising a more efficient supply chain and superior service delivery.
Carlsberg has described this merger as a ‘transformative’ step that unlocks ‘considerable’ growth opportunities. A spokesperson from Carlsberg expressed optimism, stating, ‘We’re delighted to have received all necessary regulatory clearances and, subject to the satisfaction of the Court, we look forward to completing the transaction in January 2025.’ The spokesperson emphasised the potential for creating a ‘highly attractive multi-beverage supplier in the UK’, which will be equipped with a world-class supply chain and service provision capabilities.
The approval of Carlsberg’s acquisition of Britvic by the CMA marks a significant milestone in corporate consolidation within the beverage industry.
