The leading global contracts database has acquired oneNDA, a popular standardised non-disclosure agreement, marking a significant expansion of its offerings.
Electra Japonas, the legal mind behind oneNDA, has facilitated its acquisition by Law Insider, the largest public contract and clause database worldwide. Japonas highlighted that this move aims to provide oneNDA with access to a vast global audience. While the core standards of oneNDA will remain free, Law Insider plans to introduce paid tools enhanced by artificial intelligence (AI).
The inception of oneNDA in 2021 targeted streamlining non-disclosure agreements crucial in initiating corporate negotiations. It quickly gained traction among prominent city law firms and corporate legal teams, boasting over 4,000 adopters including prestigious names such as UBS, American Express, and Panasonic. The documents have witnessed hundreds of thousands of downloads, underscoring its widespread acceptance.
Through its acquisition, the extensive library of standards including oneNDA, oneNDA Playbook, oneNDA M&A, and oneDPA, alongside their translations, will be accessible free of charge to Law Insider’s expansive userbase—spanning over three million registered users and more than 10,000 paying subscribers. However, Japonas recognised the necessity of leveraging more data to develop further standards. “The amount of effort required to build standards is huge,” she remarked, projecting that the acquisition would permit the creation of more sophisticated AI-enabled frameworks.
The deal will provide the requisite resources to expand the library to encompass master service agreements, statements of work, cloud service agreements, end-user licence agreements, service-level agreements, among others. Japonas assured that oneNDA would retain its name due to strong brand loyalty and that keeping it free was crucial to maintaining its unique value.
Japonas’ transition to Chief Legal Officer at Law Insider accompanies the closure of The Law Boutique (TLB), an unregulated business that supported in-house lawyers. This decision aligns with her focus shift towards scaling oneNDA, benefiting from the infrastructure and data capabilities of Law Insider, as highlighted in her collaborative efforts with Preston Clark, Law Insider’s president.
Clark affirmed the acquisition’s alignment with Law Insider’s vision, which is to adapt to the evolving landscape of contract standards and AI-driven drafting tools. He emphasized their commitment to offer an “expansive contract standards and playbook library”. Japonas’ contributions with oneNDA offer a seamless integration into this vision, supporting Law Insider’s ambition to lead as a premier database of contract templates and clauses.
This strategic acquisition underscores a transformative phase for oneNDA, poised to harness the capabilities of a global platform, expanding its reach and enhancing its functionalities.
